Pro Bono / Free Photography & Videography agreement
1. Purpose and Nature of Services
This Photography Free Work Agreement ("Agreement") outlines the common terms and conditions governing the photographic and videographic services provided pro bono (free of charge) by Wareika Hill LLC and its designated agents, representatives, and staff ("Company") to the undersigned individual or entity ("Subject").
Both parties acknowledge that no financial compensation, monetary fee, or royalty shall be paid by the Subject to the Company for the creative services rendered, nor shall the Company pay any fee or modeling compensation to the Subject.
2. Grant of Services & Mutual Consideration
In exchange for the professional photography and/or videography services provided by the Company without standard commercial service fees, the Subject agrees to grant the Company full permissions, rights, and releases as detailed herein. The mutual exchange of services, portfolio building opportunities, and media exposure serves as complete and adequate consideration for this Agreement.
CRITICAL NOTICE: SOLE COPYRIGHT & OWNERSHIP
Wareika Hill LLC and its agents retain 100% absolute and exclusive ownership of all original copyright, intellectual property rights, and master digital assets arising from the shoot.
3. Intellectual Property and Sole Copyright
The Subject expressly acknowledges and agrees that:
Sole Ownership: All photographs, digital negatives, video footage, audio recordings, raw files, edits, and related digital assets (collectively, the "Media") created by the Company or its agents during the session are and shall remain the sole and exclusive property of Wareika Hill LLC.
Copyright Vesting: The Company is the exclusive author and copyright owner of all Media under United States and international copyright laws. Nothing in this Agreement shall be construed as a transfer or assignment of copyright or intellectual property rights to the Subject.
Digital Assets: Any physical or digital copies provided to the Subject (if applicable) are strictly for personal, non-commercial display, unless otherwise agreed upon in a separate written commercial licensing
4. Promotional and Commercial Usage Rights
The Subject grants Wareika Hill LLC, its successors, and assigns the irrevocable, perpetual, worldwide, royalty-free license and right to use, publish, exhibit, broadcast, distribute, and reproduce the Media—including the Subject’s name, likeness, image, voice, and performance captured therein—in any and all media formats now known or hereafter devised.
Such usage includes, but is not limited to:
Marketing, advertising, and promotional campaigns across digital and print mediums.
Social media promotion (Instagram, TikTok, YouTube, Facebook, LinkedIn, etc.), website portfolios,
brochures, and press releases.
Exhibitions, trade shows, commercial displays, and publication in third-party media outlets.
5. Waiver of Approval and Inspection Rights
To the maximum extent permitted by law, the Subject hereby releases and discharges Wareika Hill LLC, its agents, and its assigns from any and all claims, demands, or causes of action arising out of the use of the Media.
Specifically, the Subject agrees that:
No Prior Approval Required: The Company may use, alter, composite, crop, or modify the Media at will for promotional, presentation, and advertising purposes without requiring prior review, inspection, or approval by the Subject.
Release of Claims: The Subject waives any right to inspect or approve the finished product, advertising copy, or promotional material that may utilize the Media.
No Defamation or Privacy Claims: The Subject releases the Company from any claims of invasion of privacy, right of publicity, defamation, or financial compensation stemming from the publication or exhibition of the Media.
6. Professional Conduct and Shoot Guidelines
Both parties agree to conduct themselves in a professional, safe, and respectful manner during the session. The Company reserves the right to terminate the photo shoot immediately without notice if safety standards are compromised or if the Subject engages in abusive, unsafe, or inappropriate behavior. Even in the event of early termination, the copyright and promotional terms outlined in Sections 3 and 4 shall remain fully in effect.
7. Limitation of Liability
Because these services are provided on a complimentary, pro bono basis, the Company provides all services and deliverables strictly on an "AS IS" basis. The Company disclaims all warranties, express or implied. Wareika Hill LLC shall not be held liable for any direct, indirect, incidental, or consequential damages—including equipment failure, digital file corruption, loss of data, or failure to deliver specific shots—arising from or relating to the photo shoot or the resulting Media.
8. Governing Law and Jurisdiction
This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of TEXAS, without regard to its conflict of law principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the state or federal courts located within HARRIS COUNTY, HOUSTON, TEXAS.
9. Acknowledgment and Execution
By printing your name below serves as a signature that you, the Subject, acknowledges that they have read this Agreement thoroughly, understand all of its terms, and voluntarily agree to all conditions—including the sole copyright ownership by Wareika Hill LLC and the unconditional right to use all media assets for promotion, presentation, and advertising at will without prior approval.
