Model Release & Likeness Agreement
1. Grant of Authorization and Likeness Rights
The undersigned Model hereby irrevocably grants to Wareika Hill LLC and its legal representatives, successors, agents, and assigns ("Company") the absolute and unqualified right and permission to use, reuse, publish, republish, broadcast, and distribute photographic portraits, pictures, video footage, audio recordings, digital assets, or image reproductions in which the Model may be included (collectively, the "Media").
2. Scope of Promotional and Commercial Use
The Company is authorized to use the Media in any and all manners, formats, and media now known or hereafter devised, throughout the world and in perpetuity. This authorization includes, without limitation, use for:
Advertising, marketing, commercial display, and public relations campaigns across print and digital platforms.
Social media marketing (including Instagram, TikTok, YouTube, Facebook, LinkedIn, etc.), websites, portfolios, brochures, and digital newsletters.
Exhibitions, trade shows, editorial features, and distribution to third-party commercial partners or media outlets.
CRITICAL NOTICE: SOLE COPYRIGHT & UNRESTRICTED USAGE
Wareika Hill LLC retains the sole copyright of all media assets and maintains the absolute right to use, alter, or advertise with all imagery at will without prior approval or compensation to the Model.
3. Ownership and Sole Copyright
The Model expressly acknowledges and agrees that:
Sole Copyright Vesting: All original copyrights, intellectual property rights, and master digital assets in and to the Media are and shall remain the exclusive property of Wareika Hill LLC.
No Ownership Rights for Model: The Model has no ownership, copyright, or proprietary interest in the Media, negatives, raw files, or final edits resulting from the session.
Derivative Works: The Company holds the absolute right to alter, modify, composite, distort, crop, or enhance the Media at its sole discretion without any restriction.
4. Waiver of Approval and Inspection
The Model hereby waives any right that they may have to inspect or approve the finished product or products, the advertising copy, or the printed matter that may be used in connection therewith or the use to which it may be applied. The Company may utilize the Media at will for promotional, presentation, and advertising purposes without seeking prior notice, review, or approval from the Model.
5. Release of Claims and Indemnification
The Model hereby releases, discharges, and holds harmless Wareika Hill LLC, its officers, agents, employees, and assigns from any and all claims, demands, damages, or causes of action arising out of or in connection with the use of the Media, including—without limitation—any claims for invasion of privacy, right of publicity, defamation, or financial compensation.
6. Governing Law and Jurisdiction
This Model Release Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of TEXAS, without regard to its conflict of law principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the state or federal courts located within HARRIS COUNTY, HOUSTON TEXAS.
7. Acknowledgment and Execution
By signing below, the Model acknowledges that they have read this Model Release Agreement thoroughly, understand all of its terms, and voluntarily execute this release with full comprehension of its legal consequences, including the sole copyright retention by Wareika Hill LLC and the unconditional right to use all media assets at will.
